This software (“Software”) is licensed, not sold. Software provided “free” is licensed at no cost. This agreement only gives you some rights to use the features included with the Software product and version that you licensed. By using the Software, you consent to the terms of this agreement. If you do not consent to the terms of this agreement, do not use the Software.
The Software and all intellectual property rights in and to the Software are and shall at all times remain the sole and exclusive property of Analytics Edge Inc. (“Analytics Edge”), and are protected by applicable intellectual property laws and treaties. This license grants you no right, title, or interest in any intellectual property owned or licensed by Analytics Edge.
Consent to Collect Your Email and Track Usage
License activation requires you to provide a valid email address, and associates the use of the Software with a specific device. During activation, the Software will send your email address and information about the Software and the device to Analytics Edge. This information may include the product version and information derived from the hardware configuration of the device. By using the Software, you consent to the transmission of this information. You are not permitted to bypass or circumvent the activation.
The Software tracks usage of the Software to improve the user experience, as well as Software failure details for the purpose of product debugging and improvement. By use of the Software you consent to the collection of this information. Information tracked is limited to selections within the product, error messages, and general information about the operating system and programming environment.
All information collected is used exclusively for product improvement and customer support purposes, and is not shared with other parties.
Analytics Edge does not have access to your login passwords or security access tokens (user credentials), query specifics, or query results. The Software stores your user credentials, encrypted, on your computer.
License
You are granted a non-exclusive, non-transferable license to use the Software on a computer (“device”) that you own or control, subject to the restrictions and requirements of this license. The Software is licensed on a per device basis. You may install one copy of the Software on one device for each license. Backup and archival copies are permitted.
The Software installation may include more than one version, such as 32-bit and 64-bit. You may use either version.
Software components may be licensed on a trial or time-limited basis. Your rights to use the Software are limited to the license period. You may have the option to renew or replace the license. After the expiration without renewal or replacement, most features of the Software will stop working.
Restrictions
You may not distribute, rent, lease, lend, sell, redistribute or sublicense the Software or make the Software available for download over a network without prior written permission.
You may not reverse engineer, decompile or disassemble the Software or any portion of it.
You may reassign the license to a different device any number of times, but not more than one time every 30 days (sooner in the event of hardware failure). If you reassign the license, you can no longer run the Software on the previous device.
Applicable Law
The proper law of this agreement is the law of Ontario, Canada. This agreement describes certain legal rights. You may have other rights under the laws of your state or country. You may also have rights with respect to the party from whom you acquired the Software. This agreement does not change your rights under the laws of your state or country if the laws of your state or country do not permit it to do so.
LIMITATION ON AND EXCLUSION OF DAMAGES. YOU CAN RECOVER FROM ANALYTICS EDGE AND ITS SUPPLIERS ONLY DIRECT DAMAGES UP TO THE AMOUNT YOU PAID FOR THE SOFTWARE. YOU CANNOT RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES.
LIMITED WARRANTY
A. LIMITED WARRANTY. If you follow the instructions, the Software will perform substantially as described in the materials that you receive in or with the Software.
B. TERM OF WARRANTY. The limited warranty covers the Software for the duration of the license. If you receive updates, supplements or replacements during that license period, they will be covered for the remainder of the period. To the extent permitted by law, any implied warranties, guarantees or conditions last only during the term of the limited warranty.
C. EXCLUSIONS FROM WARRANTY. This warranty does not cover problems caused by your acts (or failures to act), the acts of others, or events beyond Analytics Edge’s reasonable control.
D. REMEDY FOR BREACH OF WARRANTY. Analytics Edge will repair or replace the Software at no charge. If Analytics Edge cannot repair or replace it, Analytics Edge will refund the amount shown on your receipt for the Software. You must uninstall the Software and destroy any copies of the Software and associated materials. These are your only remedies for breach of limited warranty.
